These Terms of Use (the “Terms”) govern your access to and use of DistroDirect, including the website distro.direct, the DistroDirect platform and admin, any branded or white-label instance operated on your own domain, and the distribution, delivery, accounting and support services made available through them (together, the “Platform Services”).

DistroDirect is part of Too Lost Music Group and is operated by Gyrostream Pty Ltd, Digital Music Services Pty Ltd, Digital Music Publishing Services Pty Ltd and each of their subsidiaries and affiliates (collectively, the “Platform Host”, “we”, “us” or “our”).

By creating an account, submitting an application, or using the Platform Services, you agree to these Terms. If you do not agree, you may not use the Platform Services.

WHO MAY USE THE PLATFORM

DistroDirect is a business-to-business platform built for labels, managers, distributors, studios and other music companies. To use the Platform Services you must:

  • be at least 18 years of age;
  • be acting on behalf of a company or business and be authorised to bind that business to these Terms; and
  • complete our onboarding and verification requirements, including any identity, tax and sanctions checks we ask for.

We review every partner before an account goes live and may decline or withdraw access at our discretion.

YOUR ACCOUNT AND TEAM ACCESS

Your account may include multiple users with different permission levels — Super Admin, Admin and Staff — as well as sub-accounts and artist portals you create for the people you work with. You are responsible for:

  • the accuracy of the information in your account;
  • keeping credentials secure and notifying us promptly of any unauthorised access;
  • all activity carried out under your account, including activity by your team, your sub-accounts and the artists you onboard; and
  • ensuring the people you invite are permitted to access the catalog, royalty and payout information you give them.

OPERATING UNDER YOUR OWN BRAND

Where your agreement includes branded or white-label operation, we grant you a non-exclusive, non-transferable, revocable right to operate the Platform Services under your own brand, dashboard and domain for the term of that agreement. You agree that:

  • you will not represent that you own, developed or license the underlying technology, and you will not resell access outside the scope of your agreement with us;
  • you are responsible for your own terms, privacy policy and support commitments to your clients and artists, and those commitments must be consistent with these Terms and with the requirements of the stores and services we deliver to; and
  • you will not use the DistroDirect, Too Lost Music Group or Platform Host names, logos or marks in a way that implies endorsement or a relationship beyond the one described in your agreement, without our prior written consent.

YOUR CONTENT AND RIGHTS

You retain ownership of the recordings, artwork, metadata and other materials you or your clients deliver through the Platform Services (“Your Content”). You grant the Platform Host a non-exclusive, worldwide licence to host, reproduce, encode, transcode, format and transmit Your Content for the purpose of providing the Platform Services, including delivery to stores and services, reporting and royalty accounting.

You represent and warrant that, for all of Your Content:

  • you control or have secured all rights, consents and clearances required for the territories and services you select, including rights in samples, features, artwork and video;
  • the metadata you supply is accurate and not misleading, including artist names, contributor credits, release dates, identifiers and rights information; and
  • delivery of Your Content will not infringe the rights of any third party or breach any law.

DELIVERY, STORES AND SERVICES

We deliver to a large and changing set of stores and services. Each store sets its own policies, formats, lead times and eligibility rules, and may reject, delay, remove or restrict a release without notice to us. We will use reasonable efforts to deliver on the schedule you request, but we do not guarantee that a release will be accepted, go live on a particular date, remain available, or appear in any editorial, promotional or algorithmic placement.

Store and service availability, supported asset types and any add-ons form part of the Platform Services as offered from time to time and may change.

ACCEPTABLE USE

You must not use the Platform Services to:

  • deliver content you do not have the rights to, or content that impersonates another artist, rights holder or business;
  • engage in or facilitate artificial streaming, stream manipulation, click farms, bot traffic or any other attempt to inflate consumption or revenue;
  • deliver voice, likeness or style imitations of a person without that person’s consent, or content that breaches a store’s policies on synthetic or AI-generated material;
  • submit misleading metadata, keyword-stuffed titles, or releases designed to divert consumption from another rights holder;
  • launder funds, evade sanctions, or breach any applicable tax, anti-money-laundering or trade control law; or
  • interfere with, probe or attempt to gain unauthorised access to the platform, its APIs or other accounts.

We may remove content, suspend delivery, withhold payouts, investigate and report activity, and terminate accounts where we reasonably believe this section has been breached.

VERIFICATION, TAX AND COMPLIANCE

Before payouts run, and periodically afterwards, we may require identity documents, proof of address, business registration details, tax forms, bank verification and sanctions screening for you, your sub-accounts and the payees you nominate. Payouts may be held where checks are incomplete, where information is inconsistent, or where a claim, dispute or investigation is open.

FEES, ROYALTIES AND PAYOUTS

Your commercial terms — revenue share, platform fees, add-on charges, payout thresholds and accounting periods — are set out in your agreement with us. Unless that agreement says otherwise:

  • royalties are accounted for after the stores report and pay us, and are subject to currency conversion, payment processing costs and applicable withholding taxes;
  • statements are made available in the platform, and you are responsible for accounting to your own artists, clients and contributors;
  • we may recoup, offset or reverse amounts that were paid in error or that relate to fraudulent, manipulated or later-reversed revenue; and
  • you must raise any query about a statement within the period stated in your agreement, and otherwise within 12 months of it being made available.

TERM, SUSPENSION AND TERMINATION

These Terms apply for as long as you use the Platform Services. Either party may terminate in accordance with your agreement. We may suspend or terminate access immediately where we reasonably believe there has been a breach of these Terms, a legal or store compliance risk, or a risk of harm to artists, rights holders or the Platform Host.

On termination we will follow the takedown and migration process in your agreement. Obligations that by their nature survive — including rights warranties, indemnities, confidentiality, accrued fees and limitations of liability — continue after termination.

PLATFORM INTELLECTUAL PROPERTY

The Platform Services, including the software, interfaces, documentation, and the DistroDirect and Too Lost Music Group names and marks, remain the property of the Platform Host and its licensors. Nothing in these Terms transfers any ownership in them to you. You may not copy, decompile, reverse engineer or create derivative works from the platform except to the extent permitted by law.

CONFIDENTIALITY

Each party may receive non-public information from the other, including commercial terms, roster information, analytics and product roadmaps. That information may only be used for the purpose of the relationship and must be protected with reasonable care.

THIRD-PARTY SERVICES

The Platform Services interoperate with third parties, including stores, payment providers, identity and tax verification providers and marketing partners. Your use of those services may also be governed by their terms, and we are not responsible for their acts, omissions or availability.

DISCLAIMERS

The Platform Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude all implied warranties, and we do not warrant that the Platform Services will be uninterrupted, error free, or that they will generate any particular level of revenue, consumption or exposure. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or other law that cannot be excluded.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or in connection with the Platform Services is limited to the fees and commissions retained by us in respect of your account in the 12 months before the event giving rise to the liability.

INDEMNITY

You agree to indemnify the Platform Host against claims, losses, costs and expenses arising from Your Content, from your use of the Platform Services, from your relationships with your artists, clients and sub-accounts, and from any breach of these Terms.

CHANGES

We may update the Platform Services and these Terms from time to time. When we do, we will revise the “Last updated” date above and, where the change is material, give notice in the platform or by email. Continued use after a change takes effect means you accept the updated Terms.

GOVERNING LAW

These Terms are governed by the laws of Queensland, Australia, and each party submits to the non-exclusive jurisdiction of the courts of that State and the courts of appeal from them. Where your agreement with us specifies a different governing law or dispute process, that agreement prevails.
